Terms of Use

Effective date: 1 June 2025

Please read these Terms of Use (“Terms”) carefully before downloading, installing, or using the CUPSA mobile application and website (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

CUPSA is operated by ATOMATE FZE, a Free Zone Establishment registered at Dubai Technology Entrepreneur Campus (DTEC), Dubai Silicon Oasis, Dubai, UAE (‘CUPSA’, ‘we’, ‘us’, or ‘our’).

1. Eligibility

You must be at least 18 years of age to create an account and purchase a membership. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

2. Account Registration

To access the Service, you must register and create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and not share them with any third party
  • Notify us immediately at hello@cupsa.app if you suspect any unauthorised use of your account

You are responsible for all activity that occurs under your account. CUPSA reserves the right to suspend or terminate accounts that violate these Terms.

3. Membership Plans and Payments

3.1 Subscription Plans

CUPSA offers the following monthly membership plans:

  • Base — AED 49 per month (15% discount at standard cafés, 5% at specialty cafés)
  • Premium — AED 69 per month (20% standard, 10% specialty, 5% top-tier cafés)
  • Elite — AED 89 per month (25% standard, 15% specialty, 10% top-tier cafés)

Plan benefits, pricing, and participating café tiers are subject to change with 30 days' notice.

3.2 Billing and Auto-Renewal

Subscriptions are billed monthly on the date of initial purchase. Your subscription will automatically renew each month unless you cancel at least 24 hours before the end of the current billing period. Payment will be charged to your Apple ID or Google account at confirmation of purchase.

3.3 Drink Redemption

Each plan entitles you to purchase drinks at partner cafés at the applicable member discount. Redemptions are subject to:

  • A cooldown period between consecutive redemptions (Base: 3 hours; Premium: 2 hours; Elite: 1.5 hours)
  • Availability of the participating café and the selected drink
  • Geolocation verification confirming physical presence at the partner café
  • Confirmation by café staff via the partner interface

Unused redemptions do not carry over between billing periods. CUPSA does not guarantee the continued participation of any specific café partner.

3.4 Cancellation and Refunds

You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months except where required by applicable law. If you believe a charge was made in error, contact us at hello@cupsa.app within 14 days.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Create multiple accounts to circumvent cooldown periods or usage limits
  • Share your account credentials or QR redemption codes with others
  • Use automated tools, bots, or scripts to interact with the Service
  • Attempt to reverse-engineer, decompile, or tamper with the application
  • Use the Service in any way that disrupts or impairs the experience of partner cafés or other users
  • Circumvent geolocation verification or other fraud-prevention measures

CUPSA reserves the right to suspend or terminate accounts found engaging in fraudulent, abusive, or prohibited activity, and to recover any losses resulting from such conduct.

5. Partner Cafés

CUPSA partners with independent cafés and beverage venues (“Partner Cafés”) to provide the redemption service. CUPSA acts as a technology platform facilitating transactions between members and Partner Cafés. CUPSA is not responsible for:

  • The quality, preparation, or safety of food and beverages served by Partner Cafés
  • The availability of specific drinks or menu items at any given time
  • Operational decisions made by Partner Cafés, including changes to hours or menu

Partner Café participation is subject to change. The list of available cafés in the application reflects current partnerships and is updated in real time.

6. Intellectual Property

All content within the Service, including but not limited to the CUPSA name, logo, application design, text, graphics, and software, is owned by or licensed to CUPSA and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes.

You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

7. Privacy

Your use of the Service is subject to our Privacy Policy, available at https://cupsa.app/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

8. Third-Party Services

The Service may integrate with or link to third-party platforms, including payment processors, mapping services, and analytics providers. These third parties have their own terms and privacy policies. CUPSA is not responsible for the practices or content of any third-party service.

9. Disclaimers and Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

To the maximum extent permitted by applicable law, CUPSA shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Any loss of data, revenue, or profits
  • Any failure or interruption of the Service
  • Any acts or omissions of Partner Cafés

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including consumer protection rights under UAE law.

10. Indemnification

You agree to indemnify and hold harmless CUPSA, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC), UAE.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by sending a push notification or email, or by displaying a prominent notice within the application at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
